Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Fratnance platform ("Service"), operated by Fratnance ("we," "our," or "us") at fratnance.life. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using Fratnance, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a Greek organization (fraternity, sorority, or similar chapter), you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Fratnance is a software-as-a-service (SaaS) platform designed for Greek organizations. The platform provides tools for:

  • Dues billing, invoicing, and payment collection via Stripe Connect
  • Member management and alumni tracking
  • Financial reporting, budgeting, and fund management
  • Expense tracking and reimbursement workflows
  • Compliance monitoring and document management
  • Event management and venue coordination
  • Tax preparation assistance and 501(c)(7) compliance tools
  • Communication and notification services

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to active subscribers.

3. User Accounts and Eligibility

3.1 Eligibility

You must be at least 18 years old and a current or former member of a Greek organization (or an authorized administrator) to use Fratnance. By registering, you represent that you meet these requirements.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Immediately notifying us at security@fratnance.life if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or exhibit suspicious activity.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update your information as needed. We may suspend accounts with materially inaccurate information.

4. Chapter Administrator Responsibilities

If you serve as a chapter administrator (President, Treasurer, or other officer role), you accept additional responsibilities:

  • Data stewardship: you are responsible for the accuracy and appropriate use of member data entered into the platform on behalf of your chapter.
  • Member consent: you must ensure that members whose information you enter are aware of and consent to the collection and use of their data through Fratnance.
  • Role management: you must assign appropriate access levels to chapter officers and promptly remove access when members leave their roles or the organization.
  • Financial oversight: you are responsible for reviewing invoices, approving expenses, and ensuring the accuracy of financial records managed through the platform.
  • Transition planning: you must use the platform's officer transition tools to ensure continuity when leadership changes occur.

5. Payment Terms

5.1 Platform Management Fee

Fratnance charges a management fee of 2% on dues and fees collected through the platform. This fee is deducted automatically from each payment before funds are deposited to the chapter's connected Stripe account. The management fee percentage may be adjusted per chapter by mutual agreement. All fees are billed in U.S. dollars.

5.2 Payment Processing (Stripe)

All payment processing is handled by Stripe. By using the payment features of Fratnance, you also agree to Stripe's Terms of Service and Stripe Connected Account Agreement. Stripe charges its own processing fees (approximately 2.9% + $0.30 for card payments, 0.8% for ACH bank transfers, capped at $5.00). Fratnance does not store credit card numbers or bank account details on its servers.

5.3 Card Convenience Fee

Members who choose to pay by credit or debit card may be charged a convenience fee of 1% of the transaction amount. This fee is disclosed to the member before payment and is applied on top of the invoice amount. ACH bank transfer payments do not incur a convenience fee. The convenience fee is collected by Fratnance to offset payment processing costs. This fee is not a surcharge and ACH remains available as a no-fee payment method.

5.4 Member Payments

When chapters collect dues or other fees from members through Fratnance, the chapter is the merchant of record. Fratnance facilitates the transaction but is not a party to the financial arrangement between the chapter and its members. Refund policies for member payments are determined by each chapter.

5.5 Late Fees

Chapters may configure automatic late fees and payment reminders through the platform. When a late fee is collected, a portion (up to 20%) may be retained by Fratnance as an administrative fee. The chapter receives the remainder. Fratnance is not responsible for the late fee policies set by individual chapters. Late fees comply with applicable state regulations.

5.6 Payment Plan Setup Fee

Members who enroll in a payment plan (installment schedule) may be charged a one-time administrative setup fee (default $10.00). This fee is added to the first installment and disclosed before the member confirms the plan. The setup fee is collected by Fratnance.

5.7 Alumni Donation Processing Fee

Donations made through the alumni portal are subject to a processing fee of 3% of the donation amount. This fee is in addition to Stripe payment processing fees. The processing fee is disclosed before the donation is submitted and supports platform operations.

5.8 Venue Booking

Fratnance may facilitate venue bookings and event space inquiries. When a booking is made through a featured venue partner, a commission may apply (typically 5 to 10% of the booking value). Commission rates are set per venue partnership and disclosed at the time of booking. Standard venue search and bookmarking features are free.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Attempt to gain unauthorized access to any portion of the Service or any other accounts, systems, or networks.
  • Use the Service to collect or store personal data about others without their knowledge or consent.
  • Use automated scripts, bots, or scrapers to access the Service without our prior written consent.
  • Use the Service for money laundering, fraud, or any other financial crime.

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending accounts, and reporting violations to law enforcement.

7. Intellectual Property

7.1 Our Property

The Service, including its design, features, code, documentation, and branding, is owned by Fratnance and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7.2 Your Content

You retain ownership of any content you upload to the Service (documents, images, financial data). By uploading content, you grant us a limited, non-exclusive license to store, process, and display that content solely to provide and improve the Service. This license ends when you delete your content or your account.

7.3 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, we may use that feedback without obligation to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRATNANCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Fratnance is not a financial advisor, accounting firm, or law firm. The tools and reports provided through the Service are for informational and organizational purposes only and do not constitute financial, legal, or tax advice. Chapters should consult qualified professionals for such matters.

9. Indemnification

You agree to indemnify, defend, and hold harmless Fratnance and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any rights of a third party, including intellectual property rights.
  • Any content you submit, post, or transmit through the Service.
  • Financial disputes between your chapter and its members regarding dues, fees, or other charges processed through the Service.

10. Termination

10.1 By You

You may cancel your account at any time through your account settings or by contacting us at support@fratnance.life. Chapter administrators may cancel the chapter's subscription, which will take effect at the end of the current billing period.

10.2 By Us

We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent or illegal activity, or if we reasonably believe your account poses a risk to the platform or other users. We will provide notice when feasible.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will provide a reasonable window (at least 30 days) for you to export your data before it is deleted. Financial records may be retained as required by law.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@fratnance.life and attempt to resolve the matter informally for at least 30 days.

11.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the United States, and the arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

13. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email (sent to the address associated with your account) or through a prominent notice within the Service at least 14 days before the changes take effect. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

For non-material changes (such as typographical corrections or clarifications), we may update these Terms without prior notice. The "Last updated" date at the top of this page will always reflect the most recent revision.

14. General Provisions

  • Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Fratnance regarding the Service.
  • Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment: you may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force majeure: we shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet or power outages.
